1. Introduction and Acceptance

1.1 Welcome to Qxel

Qxel ("the Platform") is an online digital marketplace operated by Qxel. The Platform connects Buyers and Sellers for the purpose of selling, purchasing, and sharing digital products. These Terms of Service ("Terms") govern your access to the Qxel website (qxel.app), related services, and any associated content.

1.2 Acceptance of Terms

By accessing, registering for, or interacting with the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Platform on behalf of an entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not use the Platform.

1.3 Modifications

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of material changes via the Platform, email, or other reasonable means. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes.

2. Definitions

"Platform" – The Qxel website and all related services.

"Services" – The marketplace facilitation, payment processing, and all other features provided by Qxel.

"User," "You," "Your" – Any individual or entity accessing or using the Platform.

"Buyer" – A User who purchases products through the Platform.

"Seller" – A User who lists and sells products through the Platform.

"Product" – The digital product listed for sale on the Platform.

"Transaction" – A completed agreement between a Buyer and Seller for the purchase of a product.

"Fees" – The commission charged by Qxel,and Third party services on Qxel Users.

3. User Accounts & Eligibility

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract under applicable law to use the Platform.

3.2 Account Creation & Security

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are solely responsible for safeguarding your account password and for all activities that occur under your account.

4. General Rules & Acceptable Use

4.1 Lawful Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms and all applicable laws and regulations.

4.2 Prohibited Conduct

You agree not to:

• Post false, misleading, fraudulent, or defamatory content
• Infringe upon any third-party intellectual property rights
• Harass, abuse, threaten, or harm other Users
• Use the Platform to distribute spam or malware
• Interfere with or disrupt the integrity, performance, or security of the Platform

5. Listings & Prohibited Items

5.1 Accurate Listings

Sellers are solely responsible for creating accurate, complete, and truthful listings. This includes clear titles, detailed descriptions, correct categorization, and an honest representation of the product's contents.

5.2 Prohibited Items

The sale of the following products is strictly prohibited:

• Illegally obtained materials
• Counterfeit, pirated, or stolen content
• Sexually explicit adult content
• Content that promotes hate speech, violence, or illegal activities
• Any item whose sale violates any applicable law

6. Transactions & Financial Terms

6.1 Contract Between Users

Qxel is a marketplace facilitator. The actual contract for sale is directly between the Buyer and the Seller. Qxel is not a party to that contract.

6.2 Pricing and Payment

• Pricing: Sellers independently set the price for their products listed on the Platform.
• Payment Processing: All payments are processed through a third-party payment gateway authorized by Qxel.

6.3 Fees

• Buyer Fees: Buyers are required to pay:
  • The product price set by the Seller
  • GST (18%) on the platform service fee, as applicable
  • Applicable payment processing fees charged by the payment gateway
• Seller Fees: From each successful Transaction, the following amounts will be deducted before payout to the Seller:
  • Platform commission fee (6%) charged by Qxel
  • Tax Collected at Source (TCS) as per applicable GST regulations
  • Payout processing charges imposed by the payment partner

6.4 Taxes

Sellers are responsible for determining, collecting, and remitting any applicable taxes on their product sales.
Qxel shall charge and collect GST on its platform service fees, and shall also collect and remit Tax Collected at Source (TCS) in accordance with applicable laws.

7. Product Delivery & Access

7.1 Delivery Mechanism

Upon successful payment confirmation, the purchased product becomes available in the Buyer's account dashboard on the Platform.

7.2 Access & Download

Products are delivered exclusively through the Platform dashboard and are available for download directly from the Buyer's account.

7.3 No Refunds

Given the digital nature of products, all sales are final. No refunds are provided once a product has been purchased and made available for download.

8. Dispute Resolution

8.1 User Disputes

Users are encouraged to resolve disputes between themselves directly. Qxel may assist in resolving disputes at our discretion.

8.2 Release

You release Qxel from claims, demands, and damages arising out of disputes between you and other Users.

9. Intellectual Property

9.1 Platform IP

All rights in and to the Platform are the exclusive property of Qxel or its licensors.

9.2 Respect for IP

You agree not to copy, modify, or reverse engineer any aspect of the Platform without our express written permission.

10. Limitation of Liability & Disclaimer

10.1 "As Is" Disclaimer

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QXEL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

11. Indemnification

You agree to indemnify and hold harmless Qxel from and against any claims, liabilities, damages, losses, and expenses arising from your use of the Platform or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Platform immediately, without prior notice, for any reason, including if you breach these Terms.

13. Governing Law

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India.

14. General Provisions

These Terms constitute the entire agreement between you and Qxel. Our failure to enforce any right or provision will not be considered a waiver of those rights.
